In a case involving a hostile takeover attempt, counsel for a target company retained Cornerstone Research and Professor David Stowell of Northwestern University to analyze the valuations prepared by the acquirer and target’s financial advisors. We assisted counsel in understanding the assumptions behind the different valuation models used by the financial advisors and the impact of those assumptions on the estimated value of the target company. Following a hearing, the parties resolved their differences and announced a merger agreement.
